What this clause says
Vendor warrants that none of its required insurance policies contain wrap-up, controlled insurance program (CIP), owner-controlled insurance program (OCIP), or contractor-controlled insurance program (CCIP) exclusions that would restrict coverage for Vendor's performance under this Agreement.
What this means in plain English
A warning against wrap-up exclusions - endorsements that exclude coverage for work performed under an owner-controlled or contractor-controlled insurance program. Common in construction CGL and increasingly appearing in commercial CGL forms.
What it means for a CDMO program
Life-sciences operators are unlikely to encounter true wrap-up programs, but the exclusion language can sweep more broadly than intended. Confirm policy forms do not contain wrap-up exclusions that could be argued to apply to manufacturing work under sponsor MSAs.
